Richard Dean

General Experience
I am a Partner and Head of Commercial Services, with responsibility for our Corporate and Commercial and Commercial Property departments.

I’m based in our Leeds office, but regularly work out of our satellite offices. I specialise in Corporate and Commercial work, which includes acting for individuals or companies in acquiring or disposing of shares or business assets.

I deal with the restructuring of group companies and act for administrators or purchasers, including management teams, in the sale or purchase of business assets out of companies in administration.

I’ve extensive experience in the care sector and act in the sale and purchase of residential care homes, children’s day care nurseries and dental practices.

I also act in the preparation or review of all types of commercial agreement, from shareholders agreements, standard terms and conditions to bespoke software licences.

Recent Cases
I was the lead advisor to a company which raised private equity investment to further its position as a market leader in the field of online accounting software (also known as Cloud Computing or SaaS).

I’ve led the restructuring of a number of companies owned by individuals into trading and investment groups, with a combined group value in the region of £60 million to £70 million.

I have restructured four family owned companies operating residential care homes with a combined value of approximately £25 million into one group structure.

I’ve advised on the disposal of two companies to the same purchaser for consideration of £1.3 million for 52% of the combined share capital with an earn out of up to £6 million payable for the remaining 48% of the shares to be purchased on deferred terms pursuant to put and call options.

Background
I qualified in 2001 and spent the majority of my career with Gordons LLP, based in Leeds and Bradford.

I joined Milners as a Partner in February 2009 and became an Equity Partner in April 2010.
 
Interests
I’m married with a young son and have another on the way.

Away from family life, I go to the gym, play 11 a side and 5 a side football and enjoy cycling and hill walking.

In the past, I renovated several properties and played professional rugby league for Huddersfield Giants RLFC and Batley Bulldogs RLFC.
